Terms of Service and Work Summary

1. Postponement of Shooting Day:

You can request to move the scheduled shooting day up to 3 business days before the filming date, but the business does not commit to providing an immediate new date.

2. Cancellation of Shooting Day:

• If the shooting day is canceled by the client within 2 business days of the shooting, the client will be charged the full price of the total transaction for the cancellation.

• If it is a monthly retainer, the company is not obligated to set an alternative shooting day for that month, at its sole discretion – even after paying the retainer.

• Additionally, the company reserves the right to demand proportional financial compensation for the cancellation.

3. Exemption from Obligations:

Both parties hereby agree that they shall be exempt from fulfilling their obligations by the date specified in this agreement in the following cases:

• A change in the Ministry of Health's decision regarding COVID-19.

• Force majeure (war, emergency situation, natural disasters, strikes, or shutdowns).

• Illness of the artist, mourning, or national mourning.

• Inability to move on the roads, decrees, acts of negligence, or omissions that are not dependent on the company or the photographer and are beyond their control.

In such a case, the parties will set an alternative date to hold the event according to the company's schedule and by mutual agreement.

4. Responsibility during the Shooting Day:

The client understands that it is their responsibility to check during the shooting day that they are satisfied with the result and appearance.

5. Reshooting:

During the filming, it is not possible to reshoot content after the shooting day.

6. Use of Deliverables:

The business is entitled to use the deliverables for marketing purposes.

7. Legality and Responsibility:

The business is not responsible for the legality of the client's activities, the nature of the business, or for providing services to its customers.

The business is not liable for damages that may occur to the client as a result of the content.

8. Effort for Customer Satisfaction:

The business commits to making a great effort and using its skills and good name for the full satisfaction of the client.

9. Raw Materials and Deliverables:

• The raw material intended for creating the final product is filmed without color in Slog profile (professional filming profile).

• Cost of Raw Materials: If the client requests to receive the raw materials, the cost will be 750 ₪ for the transfer of the materials only, without color.

• If the client wishes to color the raw materials, there will be an additional charge of 1,000 ₪ for coloring the materials, so the total cost for transferring and coloring the raw materials will amount to 1,750 ₪.

• The payment for raw materials and/or their coloring is separate and in addition to the cost of the final deliverables and will not be included in the initial price quote.

• The final deliverables alone, after two rounds of corrections, will be sent to the client.


10. Terms for Rounds of Corrections:

• Number of Rounds of Corrections: Each project includes two rounds of corrections only, unless stated otherwise in the price quote.

• Submission of Corrections: A detailed and numbered list of comments must be submitted for correction or improvement.

• Method of Transmitting Corrections: Corrections will be sent via Frame.io – through which the videos will be sent to the client – or via an organized document only.

• Corrections should not be sent via WhatsApp or voice message.

• Each comment will be allocated to an exact time in the video. For example:

• 0:28: "Please change this shot"

• 1:12: "Please add an atmosphere shot"

• 0:45: "Please add element X."

• Additional Charge for Extra Rounds of Corrections: Each additional round of corrections will be charged at 550 ₪ + VAT. Payments will be added to the final account.

• Limit of Changes: Each round of corrections will include up to 8 reasonable changes only.


11. Delivery of Deliverables:

The company commits to providing video and photo production services at the highest level, while maintaining professional standards and meeting the client's requirements.

Timelines for Deliverable Delivery:

• Promotional Videos: up to 7 business days from the shooting day.

• Video Clip: up to 14 business days from the shooting day.

• Video Production: up to 14 business days from the shooting day.

• Social Videos: up to 7 business days from the shooting day.

• Premium Social Videos: up to 14 business days from the shooting day.

• Edited Stills: up to 3 business days from the shooting day.

In case of delay:

If there is a delay in delivering the deliverables, the company will immediately inform the client and cooperate to find a solution.

Delivery Conditions:

• Delivery of the videos is contingent upon the client providing all necessary materials, including content, logos, or video clips according to the requirements.

• Delay on the client's part in providing the materials may cause a delay in delivering the deliverables, and in that case, the company will have the right to set a new delivery date.

• The company is not responsible for delays caused by dependence on third-party factors.
(Such as service providers, professionals, external equipment, or content not provided by the client or the company, will not be considered a breach).

In such cases, the delay will not affect the company's obligations as stipulated. The company will make every effort to cooperate with the client and complete the project as soon as possible.

12. Filming Equipment:

We use the following equipment:

• Sony a7SIII with several lenses for filming

• Gimbal (Dji Ronin RS3 Pro)

• Microphone (Dji MIC)

This equipment has a total value of 32,000 ₪.

There may be additional equipment that varies from project to project.

13. External Equipment and Additional Angles:

If external equipment not included in the price quote is required, such as additional cameras, special lenses, advanced lighting, or other equipment, a separate price quote will be sent.

Additionally, if the client requests additional angles, there may be a need to rent another camera, and a price quote will be provided accordingly.

14. Filming Day Definitions:

• Half a Full Shooting Day – up to 4 hours of filming.

• Full Shooting Day – up to 8 hours of filming.

15. Drone Filming:

If you wish to add drone shots, a separate price quote will be sent.

16. Payment Terms:

• Payment will be made via bank transfer to the business's bank account
or through Morning payment processing.

• Through Morning, payments can be made by credit card, Bit, Apple Pay, and Google Pay.

Additional Conditions:
• Payment is to be made half at the end of the shooting day (or as a deposit) and half after editing.

• There is an option for full payment at the end of the shooting day.

• In case of delay in payment, the business reserves the right to delay the delivery of the deliverables until the debt is settled.

• Breach of these terms may prevent the transfer of the final deliverables, as well as the raw materials if paid separately.

• In a monthly retainer: Work will only commence after the full payment is transferred at the beginning of each month, by the 10th of each month.


17. Non-cooperation:

Non-cooperation will be considered a fundamental breach of the agreement.

• Definition of Non-cooperation:

• Failure to respond to the business's communications via acceptable methods (phone, WhatsApp, email, etc.) within a period exceeding 14 business days.

• Failure to provide feedback or information regarding the filmed raw materials or the edited videos submitted to the client during the required timeframe.

• Failure to respond within a reasonable time period set by both parties.

• In case of non-cooperation, the company may retain the deposit and refuse to provide the final deliverables. The client will have no claims against the company in the event of non-cooperation.

18. VAT:

All prices listed do not include VAT, and VAT must be added as required.
